An RSU tax calculator estimates the income tax you owe when your Restricted Stock Units vest and convert into actual shares. It's built for salaried tech employees at Indian offices of foreign companies, startup employees receiving equity compensation, and NRIs and cross-border employees who hold RSUs from a US or other foreign listed employer. Instead of manually working out slab-wise tax on a lump-sum perquisite, you enter your vesting details once and read off the number.
RSUs are taxed at two separate points — vesting and sale. This calculator focuses on the vesting-stage tax, which is the one every RSU holder faces first.

Tax = Slab-wise tax on Total Taxable Income − Slab-wise tax on Other Annual Income (before RSU)The fair market value of the vested shares is treated as a perquisite and added to your salary income under Section 17 of the Income-tax Act, 2025, which took effect from 1 April 2026 and governs Tax Year 2026-27. This replaces the old Section 17(2)(vi) of the Income-tax Act, 1961. Valuation follows Rule 15 of the Income-tax Rules, 2026 [VERIFY — rule number not independently confirmed on an official government page]. If your RSUs are from a foreign company, the FMV must be converted to INR using the SBI TT Buying Rate on the vesting date.
An RSU carries no purchase price, so the entire FMV is taxable — unlike ESOPs, where only the gain over the exercise price is taxed.
